{color:windowtext}{*}{_}License Management Portal{_}{*}{color}{color:windowtext} refers to the portal provided by R1Soft, to manage Licenses purchased by a License holder. {color}{color:windowtext} {color}
{color:windowtext}By design, {color}{color:windowtext}R1Soft Licenses {color}{color:windowtext}act {color}{color:windowtext}as a{color}{color:windowtext} Pool{color}{color:windowtext} of License Entitlements{color}{color:windowtext}. Hence, if {color}{color:windowtext}a user has{color}{color:windowtext} {color}{color:windowtext}made a purchase of{color}{color:windowtext} {color}{color:windowtext}a {color}{color:windowtext}100 {color}{color:windowtext}license{color}{color:windowtext}s {color}{color:windowtext}then{color}{color:windowtext} that entitles them to protect {color}{color:windowtext}100 {color}{color:windowtext}servers{color}{color:windowtext}, {color}{color:windowtext}the user can use these entitlement as per their requirement. The user {color}{color:windowtext}can split the pool of 100 Licenses into {color}{color:windowtext}2 {color}{color:windowtext}pools{color}{color:windowtext} of 50 licenses to be used across 2 Server Backup Managers OR 4 sets of 25 or 1 set of 100. Each {color}{color:windowtext}pool{color}{color:windowtext} generates a License Key which can be used to activate a Server Backup Manager which is the Applian{color}{color:windowtext}ce Software provided by R1Soft. {color}{color:windowtext} {color}

{color:windowtext}NOTE: {color}{color:windowtext}Maintenance is optional. So, the License Holder is entitled{color}{color:windowtext} to use {color}{color:windowtext}our R1Soft{color}{color:windowtext} Software{color}{color:windowtext} with a Perpetual License, even if they do not have an Active Maintenance Agreement. However, they will not be entitled to the privileges of our Support. {color}{color:windowtext} {color}

{color:windowtext}Maintenance is not a compulsory requirement, if you have a perpetual License. The terms of our agreement allow the License holder to continue use of the specific version of our software, with a perpetual license. However, we do always advocate to our customers to keep Maintenance Agreements active, so that we can offer them timely product support, important product updates and the ability to effectively manage their Licenses. {color}{color:windowtext} {color}

{color:windowtext}An{color}{color:windowtext} {color}{color:windowtext}a{color}{color:windowtext}ctive Maintenance Agreement {color}{color:windowtext}entitle{color}{color:windowtext}s{color}{color:windowtext} {color}{color:windowtext}the {color}{color:windowtext}Customer to receive, at no additional cost, {color}{color:windowtext}Maintenance Services and access to {color}{color:windowtext}all of{color}{color:windowtext} our Licensed Material including{color}{color:windowtext} {color}{color:windowtext}{*}{_}Product Updates{_}{*}{color}{color:windowtext} and use of R1Soft’s {color}{color:windowtext}{*}{_}License Management Portal{_}{*}{color}{color:windowtext}.{color}{color:windowtext} {color}{color:windowtext} {color}

{color:windowtext}Without an active Maintenance Agreement, a License Holder would not be entitled to any {color}{color:windowtext}{*}{_}Product Updates{_}{*}{color}{color:windowtext}.{color}{color:windowtext} {color}
{color:#cc3030}Any action by the License Holder to use an updated version of software, would hold that user in breach of agreement and {color}{color:#cc3030}be {color}{color:#cc3030}liable for immediate termination, as per the Terms and Conditions mentioned in the End User License Agreement. {color}{color:#cc3030} {color}
{color:windowtext} {color}
{color:windowtext}Similarly, without an active Maintenance Agreement, the License Holder will lose their access to the {color}{color:windowtext}{*}{_}License Management Portal{_}{*}{color}{color:windowtext}{*}_ _{*}{color}{color:windowtext}and any ability that they had to manage their License Pool. As, such they will continue to have access to use their licenses, as they had defined, but will lose the ability to create and manage the pool of licenses as with an Active Maintenance Agreement. {color}{color:windowtext} {color}

{color:#cc3030}Without {color}{color:#cc3030}an active Maintenance Agreement{color}{color:#cc3030}, users are not allowed to {color}{color:#cc3030}access to the {color}{color:#cc3030}{*}{_}License Management Portal{_}{*}{color}{color:#cc3030}. Hence, a perpetual license holder will be allowed to continue use of their Licenses, in the form they were when their {color}{color:#cc3030}active Maintenance Agreement{color}{color:#cc3030} lapsed. However, they will not be allowed to manage or modify {color}{color:#cc3030}their license pools post lapse.{color}{color:#cc3030} {color}

{color:#cc3030}NOTE: Even if you do have available Licenses, that are not allocated to a License Pool, when your {color}{color:#cc3030}Maintenance Agreement {color}{color:#cc3030}lapses, we will not be able to provide you support or have any mechanism to allow you to use those unassigned Licenses. {color}{color:#cc3030} {color}

{color:windowtext}We highly advocate that users {color}{color:windowtext}that Perpetual License Holders keep their Maintenance Agreements active, however, it is not a compulsory requirement. {color}{color:windowtext}If {color}{color:windowtext}users{color}{color:windowtext} are happy with the specific version of Software that {color}{color:windowtext}were{color}{color:windowtext} purchased and believe that {color}{color:windowtext}there isn’t a{color}{color:windowtext} need {color}{color:windowtext}for product updates, {color}{color:windowtext}features{color}{color:windowtext} or support{color}{color:windowtext}, then {color}{color:windowtext}they{color}{color:windowtext} can continue to use {color}{color:windowtext}the{color}{color:windowtext} Software without concerns. {color}{color:windowtext} {color}

{color:windowtext}However, if the Maintenance Agreement of a Perpetual License Holder does lapse, then under the terms of the agreement, for re-instatement of the Maintenance Agreement, the following conditions will apply:{color}{color:windowtext} {color}
# {color:windowtext}reinstate Maintenance Agreement within one year of termination or lapse{color}{color:windowtext}: {color}{color:windowtext} {color}
